PayU S.A. was established in November 2006 to take over processing of online payment systems from PAYBACK Sp. z o.o.
The aim of the company is to integrate existing online payment services and create new ones as well as provide tools which facilitate e-commerce activities. PayU S.A. combines innovative solutions, security and technological reliability, offering effective support for e-commerce. The company is also experienced in creating settlement tools.
PayU Spółka Akcyjna has been entered into the Registry by the District Court for Poznań – Nowe Miasto and Wilda in Poznań, 8th Commercial Department of the National Court Register under KRS number 0000274399. The company’s tax identification number is NIP 779-23-08-495 and its share capital amounts to 4,000,000.00 PLN – paid in full.
Settlement Agent
By a decision of the President of the National Bank of Poland of 15th June 2007, PayU S.A. has been granted the Settlement Agent status to operate the authorisation and settlement system as defined in the Act on Electronic Payment Instruments (Journal of Laws of 11th October 2002, No. 169, item 1385 as amended). The activity of the company is supervised by the President of the National Bank of Poland.
The company has met a number of conditions required to start acting as a Settlement Agent. The most important requirements include:
- acting as a joint-stock company,
- acquiring shares only for financial contributions,
- contribution of share capital in the amount of at least 1,000,000 euro in Polish zloty by the company’s founders.
PayU S.A., acting as the Settlement Agent, is supervised by the President of the National Bank of Poland (NBP). Therefore, it is obliged to provide the NBP with the current balance of cash settlements. Information reported pursuant to statutory requirements relates to e.g. the number of merchants, the number and the value of transactions as well as the number of successful and unsuccessful attempts to make transactions infringing provisions of law or circumventing the rules of fair trading. Concluding agreements with the Settlement Agent by online shops or platforms guarantees security of transactions and clear settlement procedures. An agreement between the Settlement Agent and a merchant on making payments with the use of electronic payment instruments should define in particular:
- types of electronic payment instruments by means of which operations may be made for the benefit of a merchant;
- applicable procedures, including security procedures and obligations of a merchant in respect of a transaction;
- payment date and method of making a payment to a merchant by the settlement agent;
- reasons of refusing to accept the payment by a merchant with the use of an electronic payment instrument.
